Fuse Caption Studio’s Terms and Conditions govern purchases, subscriptions, Lifetime Pro, trials, refunds, billing, support, commercial terms, and the broader relationship between you and Fuse Labs. The Fuse Caption Studio Privacy Policy describes how information is handled. If this EULA conflicts with the Terms and Conditions specifically concerning the license to install or use the directly distributed software, this EULA controls that software-license issue. The Terms and Conditions continue to control commercial and service matters. Nothing in this EULA limits rights that applicable law does not permit the parties to waive or restrict. ### 02OWNERSHIP AND LICENSE Fuse Caption Studio is licensed, not sold. Subject to your compliance with this EULA and the Terms and Conditions, Fuse Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Fuse Caption Studio as permitted by the applicable tier or paid entitlement. Purchasing a subscription or Lifetime Pro entitlement does not transfer ownership of Fuse Caption Studio, its source code, proprietary technology, trademarks, branding, interface, graphics, icons, documentation, or other Fuse Labs intellectual property. ### 03ONE APPLICATION, MULTIPLE ENTITLEMENTS Fuse Caption Studio is distributed as a single application. Free, Pro subscription, Lifetime Pro, legacy, promotional, and other authorized entitlements determine which features are available within that application. Fuse Labs is not required to distribute separate Free and Pro application binaries. Paid functionality may be hidden, locked, enabled, or disabled according to the license or entitlement currently recognized by Fuse Caption Studio. ### 04FREE LICENSE The Free tier may be installed and used on an unlimited number of compatible Macs, subject to this EULA, the Terms and Conditions, applicable law, and continued availability of Fuse Caption Studio. No paid license or Fuse Labs account is required to use the Free tier. ### 05DIRECT PRO SUBSCRIPTION LICENSE A direct Fuse Caption Studio Pro subscription is licensed per Mac. Each active direct subscription authorizes Pro functionality on one Mac at a time unless Fuse Labs expressly provides different written terms for a particular purchase. If you want to use direct-distribution Pro functionality on multiple Macs at the same time, each Mac requires its own applicable paid subscription or other valid paid license. A direct subscription may not be shared across multiple Macs merely because the Macs belong to the same person, family, business, or organization. This per-Mac rule applies specifically to direct-distribution licenses. Mac App Store subscription entitlements are governed separately by Apple’s applicable purchase, licensing, and App Store rules and may permit use across multiple eligible Macs associated with the applicable Apple entitlement. ### 06LIFETIME PRO LICENSE A valid direct Lifetime Pro license authorizes Pro functionality on one Mac at a time, subject to the transfer provisions of this EULA and the Terms and Conditions. Lifetime Pro applies for the commercial lifetime of Fuse Caption Studio as a product and includes future Fuse Caption Studio Pro features and major-version updates while Fuse Caption Studio remains an available product. Lifetime Pro does not transfer ownership of the software and does not include separate or unrelated Fuse Labs products. ### 07PER-MAC LICENSING Direct paid Fuse Caption Studio licenses are generally per Mac. A separate applicable paid entitlement is required for each Mac concurrently using paid functionality. A license is not converted into a multi-device license because multiple Macs belong to the same individual or organization. Several people may use Fuse Caption Studio on the same properly licensed Mac where such use is otherwise permitted, except that the shared or remote-access restrictions in this EULA continue to apply. ### 08LICENSE TRANSFERS BETWEEN MACS A direct paid license may be moved from one Mac to another by deactivating the existing installation and activating the replacement Mac. Users may normally perform this themselves. Fuse Labs support may release an activation where legitimate circumstances prevent normal deactivation, including hardware failure, damage, replacement, loss of access, or upgrade. Transfers are limited to three per calendar year unless Fuse Labs approves an exception. Repeated transfers exceeding this limit, or activation patterns reasonably indicating license sharing, piracy, or circumvention of per-Mac licensing, may result in temporary suspension or revocation. A legitimate customer may contact [support@fuselabssoftware.com](mailto:support@fuselabssoftware.com) to request review and may be asked to provide reasonable evidence explaining unusual device replacement or rotation. ### 09BUSINESS AND COMMERCIAL USE Fuse Caption Studio may be used for commercial and professional work. A properly licensed user may use Fuse Caption Studio as part of a paid captioning, transcription, translation, video-production, broadcasting, filmmaking, content-creation, post-production, educational, or other lawful commercial service. No additional royalty is owed to Fuse Labs merely because work produced using Fuse Caption Studio is commercial. Businesses and organizations must obtain the appropriate paid license for each Mac using paid functionality. Fuse Labs may offer discretionary bulk pricing to organizations acquiring multiple licenses. ### 10SHARED AND REMOTE MACS A direct paid license may not be used to turn a single licensed Mac into a shared licensing mechanism for multiple users who would otherwise require separate licenses. Businesses and organizations may not use remote access, shared workstations, account rotation, virtualization, terminal-style access, or similar arrangements to avoid obtaining the number of licenses reasonably required for their use. A direct license is intended for ordinary use on the licensed Mac by the applicable license holder or authorized users in a manner consistent with the per-Mac licensing model. Fuse Labs may require a separate written licensing arrangement for shared, hosted, remote-access, or similar deployment scenarios. ### 11VIRTUAL MACHINES Fuse Caption Studio may technically be installed or operated within a compatible macOS virtual machine where permitted by Apple and applicable law. A virtualized installation is treated as a separate installation/device for licensing purposes where paid functionality is activated. Fuse Labs does not recommend virtualization for workflows that depend on transcription, translation, machine-learning, Apple Intelligence, or related model performance. Virtualization can affect hardware access, acceleration, memory availability, model execution, transcription accuracy, translation behavior, performance, and overall reliability. Fuse Labs does not guarantee that Fuse Caption Studio will operate as intended or achieve equivalent results in a virtualized environment. ### 12NO HOSTED OR SOFTWARE-AS-A-SERVICE REDISTRIBUTION You may not host Fuse Caption Studio for third parties, expose the application itself as a software-as-a-service product, rent access to Fuse Caption Studio, provide remote access to the application as a substitute for users obtaining their own licenses, or build a commercial hosted service whose product is access to Fuse Caption Studio itself without prior written authorization from Fuse Labs. This restriction does not prohibit using a properly licensed copy of Fuse Caption Studio as a tool to perform legitimate commercial work for customers. For example, providing captioning services to clients using Fuse Caption Studio as an internal production tool is permitted. Selling remote access to Fuse Caption Studio itself is not. ### 13AUTHORIZED DISTRIBUTION CHANNELS Fuse Caption Studio may be obtained only through distribution channels authorized by Fuse Labs. You may not publicly redistribute, mirror, repackage, bundle, sell, sublicense, upload, or otherwise distribute Fuse Caption Studio or its installer through an unauthorized website, software repository, download service, marketplace, peer-to-peer service, package, or other channel. This restriction helps ensure users receive authentic and current builds from authorized sources. ### 14BACKUP AND ARCHIVAL COPIES You may retain reasonable backup or archival copies of an authorized Fuse Caption Studio installer or application for your own lawful reinstallation or recovery purposes. Backup copies remain subject to this EULA. You may not use an archival copy as a means of redistributing Fuse Caption Studio to others or circumventing licensing, security, compatibility, or entitlement restrictions. ### 15LICENSE KEY CONFIDENTIALITY You are responsible for taking reasonable measures to protect your direct Fuse Caption Studio license key and associated activation information from unauthorized disclosure or use. You may not intentionally publish, post, sell, share, sublicense, or distribute a license key. If you believe your license key has been exposed, stolen, or used without authorization, contact [support@fuselabssoftware.com](mailto:support@fuselabssoftware.com) . Fuse Labs may invalidate and replace a compromised key after reasonable verification of the legitimate purchase. ### 16LICENSE RECOVERY Fuse Labs may assist legitimate direct customers with recovering purchase or license information when reasonably possible. Fuse Labs may require proof of purchase, an order receipt, the email address associated with the purchase, purchaser name, approximate order date, or other reasonable information needed to identify and verify the transaction. License recovery is subject to the availability of relevant purchase records maintained through the applicable commerce provider. ### 17UPDATES Fuse Caption Studio uses a unified application update path regardless of whether the user is on Free, Pro subscription, Lifetime Pro, or another valid entitlement. Free users may install generally available application updates without purchasing Pro. Valid paid entitlements continue to control access to paid features after updating. Lifetime Pro includes future Fuse Caption Studio updates and future major versions during the commercial lifetime of Fuse Caption Studio. ### 18UPDATE CHECKING The direct-distribution version may check for available Fuse Caption Studio updates and notify you when an update is available. Fuse Caption Studio does not need to silently force-install an available update merely because it exists. If automatic update checking or update reminders are enabled, Fuse Caption Studio may remind you at application launch that a newer version is available. You remain responsible for deciding whether to install an available update, subject to the consequences of remaining on an outdated version described below. ### 19OUTDATED VERSIONS Fuse Labs does not guarantee that an outdated version of Fuse Caption Studio will remain fully compatible, supported, secure, functional, or able to interact with third-party services indefinitely. Changes to macOS, Apple frameworks, licensing infrastructure, certificates, third-party services, model formats, security requirements, or other dependencies may eventually affect older versions. Fuse Labs may recommend an update as necessary for security, compatibility, licensing reliability, bug fixes, or continued support, but the direct application will not forcibly install that update solely under this EULA. ### 20MODIFICATION OF THE SOFTWARE Except where expressly permitted by non-waivable applicable law or an applicable open-source license, you may not modify, patch, alter, adapt, translate, repackage, transform, or create derivative versions of Fuse Caption Studio itself. You may not remove, obscure, alter, or falsify proprietary notices, licensing controls, entitlement checks, security mechanisms, or identifying information contained in proprietary Fuse Labs components. ### 21REVERSE ENGINEERING Except to the limited extent expressly permitted by non-waivable applicable law or an applicable open-source license, you may not reverse engineer, decompile, disassemble, derive, discover, reconstruct, or attempt to obtain the proprietary source code, algorithms, licensing mechanisms, or non-public implementation details of Fuse Caption Studio. Nothing in this EULA restricts rights that an applicable open-source license independently grants for the component governed by that license. ### 22LICENSE AND TRIAL CIRCUMVENTION You may not bypass, disable, manipulate, crack, forge, reset, interfere with, or circumvent: - Pro feature restrictions; - license activation; - license validation; - device activation limits; - trial enforcement; - entitlement state; - transfer limits; - anti-tampering mechanisms; or - other technical measures reasonably used to enforce the applicable license. You may not modify local files, preferences, activation information, responses, signatures, network traffic, or other data for the purpose of obtaining paid functionality without a valid entitlement. ### 23NO KEY SHARING A paid license may not be shared among multiple Macs, people, businesses, customers, or organizations in a manner inconsistent with the applicable license. One direct subscription does not authorize paid use on multiple Macs simultaneously. One Lifetime Pro license does not authorize paid use on multiple Macs simultaneously. ### 24NO RESALE OR SUBLICENSING You may not sell, assign, auction, sublicense, rent, lease, transfer ownership of, or commercially redistribute a Fuse Caption Studio license without prior written permission from Fuse Labs. Permitted movement of a license between Macs owned or controlled by the same legitimate license holder does not constitute transfer of license ownership. ### 25USER CONTENT Fuse Labs does not claim ownership of your lawful media, captions, subtitles, transcripts, notes, project files, edits, exports, or other content merely because you use Fuse Caption Studio. As between you and Fuse Labs, you retain ownership of your content, subject to rights held by third parties. ### 26RIGHTS TO CONTENT By opening, importing, processing, captioning, transcribing, translating, editing, or exporting content using Fuse Caption Studio, you represent that you own the content or possess the permission, license, authorization, legal exception, or other rights necessary for your intended use. Fuse Labs does not independently verify ownership of user-selected media. Fuse Caption Studio may ask you to confirm ownership or authorization when characteristics of imported media indicate that such confirmation is appropriate. This is a precaution and not a legal determination by Fuse Labs. You remain responsible for copyright, intellectual-property, contractual, privacy, publicity, and other rights applicable to your content. ### 27PIRACY AND USER MISUSE Fuse Caption Studio is a captioning, transcription, translation, styling, and media-processing tool. Fuse Labs does not provide users with third-party copyrighted media and does not grant rights to media that a user does not already lawfully possess. Fuse Labs is not responsible for piracy, copyright infringement, unauthorized copying, unlawful distribution, or other misuse committed by a user. The fact that Fuse Caption Studio can open, process, caption, translate, or export content does not establish that the content is lawful or that the user owns it. ### 28GENERATED OUTPUT Fuse Labs makes no ownership claim over text generated for you through Apple Intelligence features in Fuse Caption Studio. No guarantee is made that generated output is unique, copyrightable, non-infringing, accurate, complete, or suitable for a particular purpose. You are responsible for reviewing and determining how generated output may lawfully be used. ### 29TRANSCRIPTION, TRANSLATION, AND AI ACCURACY Fuse Caption Studio is designed to provide high-quality results, but automated transcription, translation, speaker processing, and AI-generated output may contain errors. You are responsible for reviewing results before relying on, publishing, broadcasting, distributing, submitting, or otherwise using them. Fuse Labs does not certify generated output as legally, medically, professionally, regulatorily, contractually, or accessibility compliant. ### 30PROFESSIONAL USE Fuse Caption Studio may be used in professional environments, including by creators, companies, studios, broadcasters, agencies, educational institutions, and other organizations. Professional use does not constitute a representation that every output automatically complies with every accessibility, broadcast, legal, contractual, technical, or industry standard. Users remain responsible for the standards applicable to their work. ### 31MANAGED MODEL FILES Fuse Caption Studio may download and manage third-party model files required for transcription, speaker processing, translation, or related functionality. These models may need to remain in precise locations managed by Fuse Caption Studio so the application can discover, validate, update, and use them correctly. You should not move, rename, alter, replace, corrupt, or manipulate managed model files in a manner that interferes with Fuse Caption Studio’s operation or model-management system. Fuse Labs does not claim ownership of third-party model weights merely because Fuse Caption Studio downloads or manages them. Third-party models remain governed by their applicable licenses and terms. ### 32OPEN-SOURCE SOFTWARE AND THIRD-PARTY COMPONENTS Fuse Caption Studio incorporates or interacts with open-source software, frameworks, libraries, models, and other third-party components. Those components remain subject to their respective licenses, copyright notices, attribution requirements, and other applicable terms. If a third-party or open-source license grants rights that conflict with a restriction in this EULA, that license controls with respect to that component. Fuse Labs does not use this EULA to take away rights granted directly to you by an applicable open-source license. Applicable acknowledgements and license notices are available within Fuse Caption Studio and/or accompanying materials. ### 33FFMPEG Where Fuse Caption Studio dynamically links to an unmodified LGPL-licensed FFmpeg component, this EULA does not restrict rights to replace, relink, inspect, or otherwise exercise rights over that component to the extent granted by the applicable LGPL license. FFmpeg is not owned by Fuse Labs merely because Fuse Caption Studio uses it. ### 34FUSE LABS INTELLECTUAL PROPERTY Fuse Labs and its licensors retain all rights, title, and interest in and to proprietary portions of Fuse Caption Studio, including applicable source code, architecture, original interface elements, graphics, icons, logos, branding, documentation, and other protected materials. “Fuse Labs,” “Fuse Caption Studio,” associated logos, and applicable branding may not be used in a manner that falsely suggests sponsorship, endorsement, affiliation, or ownership. ### 35BETA AND EXPERIMENTAL FEATURES Fuse Caption Studio may include features identified as Beta, experimental, preview, early access, or similar. Such features may be incomplete, changed, less reliable, temporarily unavailable, or removed. They should not be the sole basis of a critical production workflow without appropriate testing, human review, and backups. ### 36BACKUPS You are responsible for maintaining appropriate backups of your .fuse projects, source media, attachments, exports, custom assets, and other important files. Fuse Caption Studio is not a cloud-backup service. Fuse Labs generally cannot recover locally stored projects or media that are deleted, corrupted, overwritten, damaged, lost, or otherwise inaccessible because Fuse Labs does not possess those files. ### 37TERMINATION This EULA remains effective until terminated. Your rights under this EULA may terminate if you materially breach its terms, including through piracy, unauthorized redistribution, license sharing, fraudulent acquisition, prohibited circumvention, unauthorized hosting, or other serious license abuse. Fuse Labs may suspend or revoke a direct paid entitlement where permitted by the Terms and Conditions, including following a refund, chargeback, fraud, or material licensing violation. ### 38EFFECT OF TERMINATION When a paid license or entitlement is validly terminated or revoked, Fuse Caption Studio may disable or lock paid functionality associated with that entitlement. Termination does not transfer ownership of your projects to Fuse Labs. Fuse Labs does not remotely delete your locally stored .fuse projects merely because a license ends. Where the Free tier remains available and the user is otherwise permitted to use it, termination of a paid entitlement does not necessarily require deletion of the application; paid functionality may instead become unavailable. ### 39SURVIVAL Provisions that by their nature should survive termination will survive, including provisions concerning ownership, intellectual property, user-content responsibility, prohibited redistribution, outstanding payment obligations, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and accrued rights. ### 40REFUNDS AND CHARGEBACKS A refund of a direct paid purchase terminates the corresponding paid entitlement unless Fuse Labs expressly states otherwise. A chargeback, payment reversal, or unresolved payment dispute may result in suspension or revocation of the corresponding license. These matters are further governed by the Fuse Caption Studio Terms and Conditions. ### 41SECURITY AND COMPROMISED LICENSES Fuse Labs may suspend, revoke, replace, or require reactivation of a license where reasonably necessary to respond to a compromised key, fraud, piracy, unauthorized distribution, activation abuse, or a security issue. A legitimate purchaser who believes an action was taken incorrectly may contact support for review. ### 42THIRD-PARTY SERVICES Fuse Caption Studio may depend on third-party services, frameworks, repositories, operating-system components, infrastructure, or technologies. Fuse Labs does not control those third parties and cannot guarantee their perpetual availability, compatibility, performance, or policies. To the maximum extent permitted by law, Fuse Labs is not responsible for failures caused by third-party systems outside its reasonable control. ### 43SOFTWARE PROVIDED “AS IS” To the maximum extent permitted by applicable law, Fuse Caption Studio is licensed on an “as is” and “as available” basis. Fuse Labs does not warrant uninterrupted or error-free operation, universal compatibility, permanent compatibility with future macOS releases or Macs, perfect transcription or translation, or uninterrupted availability of third-party dependencies. Mandatory statutory warranties and consumer protections remain unaffected. ### 44LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Fuse Labs’ aggregate liability arising from Fuse Caption Studio or this EULA will not exceed the greater of: (a) the amount you paid to Fuse Labs for Fuse Caption Studio during the 12 months immediately preceding the event giving rise to the claim; or (b) where the claim relates to a valid Lifetime Pro license, the amount originally paid for that applicable Lifetime Pro license. For Free users who paid nothing and have no applicable paid license, liability is limited to the minimum amount required by applicable law. These limitations do not apply where applicable law prohibits limitation. ### 45EXCLUSION OF CERTAIN DAMAGES To the maximum extent permitted by law, Fuse Labs is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business opportunities, goodwill, anticipated savings, or data arising from or relating to Fuse Caption Studio. This exclusion applies only to the extent permitted by applicable law. ### 46REASONABLE INDEMNIFICATION To the extent permitted by law, you agree to indemnify and hold Fuse Labs harmless from third-party claims, liabilities, damages, and reasonable costs arising directly from your unlawful use of Fuse Caption Studio, knowing infringement of third-party rights through content you process or distribute, unauthorized redistribution of Fuse Caption Studio or license keys, or a material violation of this EULA that causes a third-party claim. You are not required to indemnify Fuse Labs for Fuse Labs’ own unlawful conduct or where applicable law prohibits indemnification. ### 47CONSUMER RIGHTS Nothing in this EULA excludes, restricts, waives, or limits any statutory consumer right, warranty, guarantee, remedy, refund right, privacy right, or other protection that applicable law does not permit to be excluded or limited. If a provision conflicts with mandatory applicable law, that law controls to the extent of the conflict. ### 48GOVERNING LAW Except where mandatory local law provides otherwise, this EULA is governed by the laws of the Province of Ontario and applicable federal laws of Canada, without regard to conflict-of-laws principles. ### 49VENUE Except where mandatory consumer or other law gives you a right to bring a claim elsewhere, disputes arising from this EULA or the direct-distribution license are subject to courts of competent jurisdiction in Ontario, Canada. Non-waivable rights to proceed elsewhere remain unaffected. ### 50INFORMAL DISPUTE RESOLUTION Before beginning formal proceedings, where legally permissible and reasonably practicable, you and Fuse Labs agree to attempt good-faith informal resolution. Contact [support@fuselabssoftware.com](mailto:support@fuselabssoftware.com) with a description of the issue and requested resolution and allow up to 30 days for an informal resolution attempt unless urgent relief is reasonably necessary or applicable law provides otherwise. ### 51NO MANDATORY ARBITRATION OR CLASS-ACTION WAIVER This EULA does not require mandatory private arbitration and does not impose a contractual class-action waiver. The parties may voluntarily agree to alternative dispute resolution after a dispute arises. ### 52CHANGES TO THIS EULA Fuse Labs may update this EULA to reflect changes to Fuse Caption Studio, licensing, distribution, law, security, or business practices. The effective date identifies the current version. Material changes may receive additional notice where appropriate or legally required. Changes will not retroactively remove rights that applicable law or a valid paid entitlement does not permit Fuse Labs to remove. Where applicable law requires affirmative consent to a revised EULA, Fuse Labs will request it. ### 53ASSIGNMENT You may not assign or transfer this EULA or your license except as expressly permitted or with prior written approval from Fuse Labs. Fuse Labs may assign this EULA and associated rights and obligations in connection with a sale, acquisition, merger, reorganization, or transfer of Fuse Caption Studio, its business, or relevant intellectual property, subject to applicable law and continued recognition of valid customer entitlements. ### 54FORCE MAJEURE Fuse Labs is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, widespread internet or infrastructure failures, government action, war, civil disturbance, labor disruption, major third-party service outages, Apple platform outages, widespread cloud-service failures, or comparable events. This does not excuse obligations that applicable law does not permit to be excused. ### 55SEVERABILITY If any provision of this EULA is found invalid, illegal, or unenforceable, it will be enforced to the maximum lawful extent or severed as appropriate, and the remaining provisions will continue in effect. ### 56WAIVER Failure by Fuse Labs to enforce a provision in one instance does not waive the right to enforce it later. ### 57ENTIRE AGREEMENT This EULA, together with the Fuse Caption Studio Terms and Conditions, Privacy Policy, and any additional written terms expressly applicable to a particular license, constitutes the agreement concerning the direct software license and related matters addressed by those documents. Binding legacy entitlements expressly recognized by Fuse Labs remain preserved. ### 58LANGUAGE This EULA is provided in English. If Fuse Labs later provides a translation for convenience, the English version controls to the extent permitted by applicable law unless Fuse Labs expressly states otherwise or applicable law requires another result. ### 59MAC APP STORE EXCLUSION For clarity, this EULA does not replace Apple’s applicable Standard Licensed Application End User License Agreement for copies of Fuse Caption Studio obtained through the Mac App Store. The direct Free tier may be used on unlimited compatible Macs. Each direct Pro subscription or direct Lifetime Pro license generally unlocks paid functionality on one Mac at a time. Multiple Macs require separate direct paid entitlements. Direct licenses may be legitimately moved between Macs subject to the transfer rules and anti-abuse limits. Commercial production work using Fuse Caption Studio is permitted, but hosting or selling access to Fuse Caption Studio itself is not. Users retain ownership of their lawful content and are responsible for having the rights needed to use that content. Fuse Labs retains ownership of proprietary Fuse Caption Studio technology and intellectual property, while open-source software and third-party models remain governed by their respective licenses. Updates are available through the unified Fuse Caption Studio application regardless of tier; paid entitlements determine which features are unlocked. Users are responsible for reviewing transcription, translation, and AI-generated results and for maintaining backups of important local files. Mandatory consumer rights remain protected.
