Direct-distribution software use is also governed by the Fuse Labs EULA. Mac App Store software use is governed by Apple’s applicable Standard Licensed Application End User License Agreement and mandatory Apple terms. Privacy is governed by the Fuse Caption Studio Privacy Policy. Mandatory consumer rights always prevail where they cannot lawfully be waived. ### 02ELIGIBILITY AND BUSINESS USE Fuse Caption Studio may be used personally, educationally, professionally, commercially, or by an organization. If acting for an entity, you represent that you have authority to bind it. Businesses must obtain an applicable paid license for each Mac using paid functionality. ### 03FREE Fuse Caption Studio Free may be used indefinitely without payment or a Fuse Labs account, subject to continued product availability and these Terms. Fuse Labs may add, change, replace, restrict, or discontinue individual Free features. ### 04PRO Pro provides paid features designated by Fuse Labs and may be offered by subscription, Lifetime Pro, qualifying legacy entitlement, promotion, or other authorized license. ### 05SUBSCRIPTIONS Pro subscriptions automatically renew until cancelled. Current price, currency, taxes, billing interval, and applicable terms are shown before purchase. Cancellation takes effect at the end of the current paid billing period; Pro remains available until then and the app subsequently returns to Free unless another entitlement applies. ### 06PROJECTS AFTER DOWNGRADE Ending Pro does not delete or intentionally alter existing projects. Existing paid styling/configuration may remain as-is, but a Free user may be unable to further customize Pro-only features. Where supported, the user may manually remove or reset paid styling. Project files remain the user’s. ### 07LIFETIME PRO “Lifetime Pro” means Fuse Caption Studio Pro for the commercial lifetime of Fuse Caption Studio as a product. It does not mean the purchaser’s biological lifetime or guarantee that Fuse Caption Studio will exist, be maintained, supported, distributed, or remain compatible forever. While Fuse Caption Studio remains an available product, Lifetime Pro includes future Fuse Caption Studio updates, future major versions, and future features Fuse Labs designates as part of Fuse Caption Studio Pro. It does not include separate or unrelated Fuse Labs products. ### 08PRODUCT CHANGES AND DISCONTINUATION Fuse Labs may add, modify, redesign, replace, improve, restrict, or discontinue features and may ultimately discontinue Fuse Caption Studio itself. A valid Lifetime Pro entitlement will not be intentionally removed merely because Fuse Caption Studio is updated, but Lifetime Pro does not obligate Fuse Labs to operate the product indefinitely. ### 09DIRECT LICENSES Unless expressly stated otherwise, each direct paid license authorizes one Mac at a time. The license is per Mac, not per person or family. Multiple people may use the same properly licensed Mac. Each concurrently licensed Mac requires its own license. ### 10MAC TRANSFERS A direct license may be moved by deactivating one Mac and activating another. Users may normally do this themselves; support may release an activation when legitimate circumstances prevent normal deactivation. Transfers are limited to three per calendar year unless Fuse Labs approves an exception. Exceeding the limit or activity reasonably indicating license sharing may cause suspension or revocation as an anti-piracy security measure. A legitimate customer may contact support and may be asked for reasonable evidence explaining repeated device replacement/rotation. ### 11BUSINESSES Businesses require a paid license per Mac. Licenses may be moved when genuinely replacing a machine because of upgrade, failure, damage, or similar reasons, but may not be rotated among active machines to avoid purchasing required licenses. Organizations may contact Fuse Labs for discretionary bulk pricing. ### 12FAMILY SHARING Direct licenses are per Mac, not family licenses. Household members may use the same licensed Mac. Apple Family Sharing is not enabled unless Fuse Labs expressly states otherwise later. ### 13NO RESALE Licenses may not be sold, auctioned, sublicensed, rented, leased, transferred to another owner, or commercially redistributed without prior written permission. Moving a license between Macs controlled by the same holder is not an ownership transfer. ### 14LEGACY ENTITLEMENTS Qualifying former Lite subscription customers receive the corresponding Pro entitlement. Qualifying Lifetime Lite customers receive Lifetime Pro. Qualifying BundleHunt Fuse Caption Studio licenses are Lifetime Pro. Legacy entitlements remain subject to these Terms, reasonable anti-abuse measures, technical compatibility, and the commercial lifetime of Fuse Caption Studio. ### 15SPECIAL LICENSES Promotional, reviewer, complimentary, educational, beta, giveaway, or not-for-resale licenses may have additional written conditions. Unless expressly stated otherwise, they cannot be resold or exchanged for cash. ### 16DIRECT PRO TRIAL The direct version may provide an eight-hour active-use Pro trial so users can evaluate features, compatibility, workflow, and suitability before purchase. Users are encouraged to use it before buying. Resetting, bypassing, falsifying, manipulating, or circumventing trial enforcement violates these Terms. ### 17DIRECT REFUNDS Except where required by law, direct purchases are final and non-refundable. Fuse Labs may, without creating a future obligation, consider exceptional cases such as a genuine technical problem making the purchased software reasonably impossible to use when reported within 30 days. Change of mind, buyer’s remorse, failure to use the available trial, finding another product, no longer needing Fuse Caption Studio, or forgetting to cancel a subscription ordinarily does not qualify. ### 18RENEWALS AND REFUNDS Failure to cancel before subscription renewal does not ordinarily create a refund right except where required by law or exceptionally granted by Fuse Labs. Fuse Labs may assist direct customers in cancelling future renewal. ### 19LIFETIME REFUNDS Lifetime Pro is generally final and non-refundable except where required by law or an exceptional request is approved. The direct trial exists to allow evaluation before purchase. ### 20MAC APP STORE REFUNDS Mac App Store purchases and refund requests are administered by Apple and governed by Apple’s applicable policies and mandatory consumer-law obligations. Fuse Labs does not control Apple’s refund decisions. ### 21PRICING, TAXES, AND PRICE CHANGES Prices may vary by storefront, country, currency, tax, promotion, and channel. Final price/currency/tax are displayed before purchase. Lemon Squeezy acts as Merchant of Record for direct purchases; Apple handles App Store transactions. Fuse Labs may change future prices. Existing subscription prices may change with legally/platform-required notice. Unless expressly promised in writing, permanent grandfathering is not guaranteed. A price change does not convert Lifetime Pro into a subscription. ### 22BILLING ACCESS Ordinary use does not require a Fuse Labs account. Direct customers may access applicable Lemon Squeezy billing/order information at [https://account.fuselabssoftware.com/billing](https://account.fuselabssoftware.com/billing) . This does not create a Fuse Labs cloud-content account. ### 23OPERATIONAL COMMUNICATIONS Fuse Labs may contact direct customers when reasonably necessary concerning purchases, licenses, billing, security, support, material Terms/product changes, discontinuation, or similar operational matters. ### 24SYSTEM REQUIREMENTS Future releases may require newer macOS versions or Apple hardware as Apple technologies, frameworks, security requirements, AI capabilities, and development tools evolve. Purchase does not guarantee compatibility with every future Mac, macOS version, third-party service, or technology. ### 25LEGACY VERSIONS When newer releases require newer systems, Fuse Labs intends to keep the then-current compatible legacy version available to eligible customers through the Mac App Store and/or website where technically and commercially practicable. Fuse Labs cannot guarantee indefinite availability where Apple, certificates, operating systems, security requirements, infrastructure, or other circumstances prevent it. ### 26INTERNET AND LICENSE VALIDATION Direct paid functionality requires occasional internet access for activation/validation. Temporary offline use may be permitted by current licensing behavior, but direct Pro cannot be expected to operate indefinitely without successful validation. Fuse Labs may reasonably change validation mechanisms for security, reliability, fraud prevention, or infrastructure. ### 27THIRD-PARTY SERVICES Fuse Caption Studio may depend on Apple, Lemon Squeezy, Cloudflare, GitHub, Hugging Face, internet providers, open-source projects, and other third-party technology. Fuse Labs does not control them and, to the maximum extent permitted by law, is not responsible for outages, interruptions, delays, errors, policy changes, discontinuations, or network failures caused by systems outside Fuse Labs’ reasonable control. ### 28TRANSCRIPTION ACCURACY Fuse Caption Studio is designed for highly accurate transcription, but automated transcription may contain errors, omissions, timing mistakes, punctuation errors, incorrect words, or incorrect speaker attribution. Users must review output before relying on, publishing, broadcasting, distributing, or submitting it. ### 29TRANSLATION ACCURACY Automated translations may contain mistakes, omissions, ambiguity, culturally inappropriate wording, or inaccurate interpretation. Fuse Labs does not certify translations as exact, professional, legal, medical, regulatory, broadcast, or accessibility-compliant. Users must review them. ### 30APPLE INTELLIGENCE AND GENERATED OUTPUT AI-generated or transformed output may be inaccurate, incomplete, misleading, repetitive, unexpected, inappropriate, or unsuitable. Users must review it before use. Fuse Labs does not guarantee output is unique, copyrightable, non-infringing, or different from output another person/system may receive. ### 31PROFESSIONAL USE Companies, broadcasters, movie studios, agencies, creators, educational institutions, and other professionals may use Fuse Caption Studio with appropriate licenses. Professional suitability does not mean Fuse Labs certifies every output against every legal, technical, accessibility, broadcast, contractual, or industry standard. ### 32ACCESSIBILITY COMPLIANCE Fuse Caption Studio is a creation/editing tool, not a legal certification service. Fuse Labs does not guarantee output meets every requirement of WCAG, ADA, AODA, the European Accessibility Act, broadcast-caption rules, contractual specifications, or other standards. Users are responsible for determining and verifying applicable requirements. ### 33HIGH-STAKES USE Output should receive qualified human review where errors could materially affect legal rights, medical decisions, safety, emergency communications, regulatory compliance, court proceedings, official records, or similar high-stakes matters. Fuse Caption Studio is not professional legal, medical, regulatory, translation, transcription, accessibility, or compliance advice. ### 34USER CONTENT OWNERSHIP As between the user and Fuse Labs, users retain ownership of media, text, captions, subtitles, notes, projects, edits, designs, and other content they lawfully import or create, subject to third-party rights. Fuse Labs does not acquire ownership merely because Fuse Caption Studio is used. ### 35GENERATED OUTPUT OWNERSHIP Fuse Labs makes no ownership claim over text/output generated for a user through Apple Intelligence. This does not guarantee copyrightability, uniqueness, absence of third-party rights, or lawful usability in every context. ### 36RIGHTS TO MEDIA By importing, opening, processing, captioning, translating, editing, or exporting content, users represent that they own it or possess the necessary permission, license, authorization, exception, or lawful right. Fuse Labs does not verify ownership and is not responsible for determining authorization. Fuse Caption Studio may warn users when characteristics of media suggest ownership should be confirmed; this is precautionary, not a legal determination. ### 37PIRACY AND MISUSE Fuse Caption Studio does not grant rights to media a user does not otherwise possess. Fuse Labs is not responsible for piracy, copyright infringement, unauthorized copying/distribution, or other user misuse. Ability to open/process a file does not establish that it is lawful. Users may not use Fuse Caption Studio unlawfully or to infringe third-party rights. ### 38LAWFUL PRIVATE CONTENT Fuse Labs does not police the subject matter of lawful locally processed content. Content is not prohibited merely because it is mature, controversial, sensitive, or audience-specific, provided its possession/use is lawful and does not violate third-party rights. ### 39PROHIBITED CONDUCT Users may not unlawfully use Fuse Caption Studio; bypass/crack/disable/manipulate Pro, licensing, activation, validation, or trial enforcement; forge license state; share/sell/redistribute license keys; simulate multi-Mac licensing with one license; repeatedly rotate licenses to evade licensing; reverse engineer/decompile/disassemble proprietary code except where non-waivable law expressly permits; interfere with proprietary components to circumvent security/licensing; redistribute proprietary Fuse Labs software/assets without authorization; or intentionally facilitate unlawful infringement. ### 40MANAGED MODEL FILES Fuse Caption Studio manages third-party model files at precise locations needed for discovery, validation, updates, and operation. Users should not move, rename, alter, replace, corrupt, or manipulate managed model files in ways that interfere with Fuse Caption Studio. Fuse Labs does not claim ownership of third-party model weights. Their respective licenses and terms continue to apply. ### 41FUSE LABS INTELLECTUAL PROPERTY Fuse Caption Studio’s proprietary code, architecture, original UI elements, graphics, icons, branding, logos, documentation, website materials, and other Fuse Labs-created materials belong to Fuse Labs or applicable licensors and are protected by law. No ownership is transferred except the limited usage rights granted under the applicable software license. ### 42OPEN-SOURCE COMPONENTS Open-source software, third-party frameworks, models, libraries, and components remain governed by their own licenses, notices, and attribution requirements. If an open-source license grants rights conflicting with these Terms/EULA, that license controls for that component. Applicable acknowledgements/licenses are provided within Fuse Caption Studio and/or accompanying materials. ### 43FFMPEG Where Fuse Caption Studio dynamically links to unmodified LGPL-licensed FFmpeg components, these Terms do not restrict replacement/relinking rights provided by the applicable open-source license. FFmpeg and other third-party components are not owned by Fuse Labs. ### 44FEEDBACK Voluntarily submitted suggestions, feature requests, improvements, workflow concepts, or feedback grant Fuse Labs a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, adapt, develop, commercialize, and incorporate the feedback without compensation. This does not transfer unrelated project content or copyrighted works supplied for support. ### 45BETA FEATURES Beta, experimental, preview, or early-access features may be incomplete, less reliable, substantially changed, unavailable, or removed. They should not be the sole mechanism for critical production workflows without appropriate testing, review, and backups. ### 46BACKUPS Users are responsible for backing up .fuse projects, source media, attachments, exports, custom assets, and other important files. Fuse Caption Studio is not cloud backup. Fuse Labs generally cannot restore locally lost/deleted/damaged/overwritten/corrupted files because it does not possess them. ### 47DATA LOSS To the maximum extent permitted by law, Fuse Labs is not liable for loss, corruption, deletion, overwriting, incompatibility, or inability to recover projects, media, captions, notes, attachments, exports, preferences, or other local information. This does not exclude liability that cannot lawfully be excluded. ### 48“AS IS” AND WARRANTIES To the maximum extent permitted by law, Fuse Caption Studio and related services are provided “as is” and “as available.” Fuse Labs does not warrant uninterrupted/error-free operation, universal compatibility, or perfect generated results and disclaims implied warranties/conditions of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation where law permits. Mandatory statutory warranties, guarantees, remedies, and consumer rights remain unaffected. ### 49LIMITATION OF LIABILITY To the maximum extent permitted by law, Fuse Labs’ aggregate liability arising from Fuse Caption Studio, these Terms, direct purchases, or related services will not exceed the greater of (a) the amount paid to Fuse Labs for Fuse Caption Studio during the 12 months preceding the event giving rise to the claim, or (b), for a claim relating to a valid Lifetime Pro license, the amount originally paid for that license. For Free users who paid nothing and have no applicable paid license, liability is limited to the minimum amount required by law. These limits do not apply where law prohibits limitation. ### 50EXCLUDED DAMAGES To the maximum extent permitted by law, Fuse Labs is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, business opportunity, goodwill, anticipated savings, or data. This exclusion applies only where lawful. ### 51REASONABLE INDEMNIFICATION To the extent permitted by law, users agree to indemnify and hold Fuse Labs harmless from third-party claims, liabilities, damages, and reasonable costs arising directly from unlawful use; knowing infringement through content processed/distributed; unauthorized software/license-key distribution; or a material Terms violation causing a third-party claim. This does not require indemnification for Fuse Labs’ own unlawful conduct or matters that cannot legally be indemnified. ### 52SUSPENSION AND REVOCATION Fuse Labs may suspend/revoke a direct paid license for a refund, chargeback/reversed payment, fraud, unauthorized key sharing/resale, repeated activation abuse, trial/licensing circumvention, material Terms/EULA breach, or conduct reasonably indicating piracy/unauthorized multi-device use. ### 53REFUND OR CHARGEBACK A direct refund terminates the corresponding paid entitlement unless Fuse Labs expressly states otherwise. A chargeback/payment reversal may cause immediate suspension or revocation while unresolved. If payment is restored, Fuse Labs may restore the license after verification. Fraudulent/abusive chargebacks may result in permanent revocation where lawful. ### 54LICENSE REVIEW A customer believing a license was incorrectly suspended/revoked may contact [support@fuselabssoftware.com](mailto:support@fuselabssoftware.com) . Fuse Labs may request proof of purchase/order information or reasonable information explaining unusual activation/transfer activity. ### 55SUPPORT Support is provided through channels Fuse Labs makes available. Unless separately agreed in writing, no guaranteed response or resolution time applies. Voluntary diagnostics may be requested to investigate technical issues. ### 56MAC APP STORE Mac App Store software licensing is governed by Apple’s applicable Standard Licensed Application End User License Agreement and mandatory Apple terms. Apple processes App Store purchases/subscriptions. These Terms govern the relationship with Fuse Labs on matters not exclusively governed by Apple, to the extent Apple’s rules permit. ### 57DIRECT EULA Direct software installation/use is additionally governed by the Fuse Labs EULA. If a direct-software licensing provision in the EULA conflicts with these Terms, the EULA controls that licensing issue; these Terms continue to govern purchases, subscriptions, refunds, services, support, and the broader commercial relationship unless expressly stated otherwise. ### 58PRIVACY Use is also subject to the Fuse Caption Studio Privacy Policy at [https://fusecaptionstudio.com/privacy-policy](https://fusecaptionstudio.com/privacy-policy) . ### 59CONSUMER RIGHTS Nothing in these Terms excludes, restricts, waives, or limits any statutory consumer right, warranty, guarantee, remedy, cancellation/refund right, privacy right, or other protection that applicable law does not permit to be waived or limited. ### 60GOVERNING LAW Except where mandatory local law provides otherwise, these Terms and disputes arising from them are governed by Ontario law and applicable federal laws of Canada, without regard to conflict-of-laws principles. ### 61VENUE Except where mandatory law permits or requires otherwise, disputes are subject to courts of competent jurisdiction in Ontario, Canada. Non-waivable rights to bring proceedings elsewhere remain unaffected. ### 62INFORMAL DISPUTE RESOLUTION Before formal proceedings, where legally permissible and reasonably practicable, users and Fuse Labs agree to attempt good-faith informal resolution. Contact [support@fuselabssoftware.com](mailto:support@fuselabssoftware.com) describing the issue and requested resolution and allow up to 30 days, unless urgent relief is reasonably necessary or law provides otherwise. ### 63NO MANDATORY ARBITRATION OR CLASS WAIVER These Terms impose neither mandatory private arbitration nor a contractual class-action waiver. The parties may voluntarily agree to alternative dispute resolution after a dispute arises. Collective/class procedural rights are determined by applicable law and the relevant tribunal. ### 64CHANGES TO TERMS Fuse Labs may update these Terms as the product, business model, law, services, distribution, or commercial practices change. The effective date identifies the current version. Material changes may receive additional notice where appropriate or legally required. Changes do not retroactively remove rights that law or a valid paid entitlement does not permit Fuse Labs to remove. Continued use constitutes acceptance where legally permitted; affirmative consent will be requested where required. ### 65ASSIGNMENT Users may not assign these Terms or a license except as expressly permitted or with written approval. Fuse Labs may assign these Terms and associated rights/obligations in connection with a sale, acquisition, merger, reorganization, or transfer of Fuse Caption Studio/business/IP, subject to applicable law and continued recognition of valid entitlements. ### 66FORCE MAJEURE Fuse Labs is not responsible for delay/failure caused by circumstances beyond reasonable control, including natural disasters, widespread internet/infrastructure failures, government action, war, civil disturbance, labor disruption, major third-party/Apple/cloud outages, or comparable events, except where law provides otherwise. ### 67SEVERABILITY AND WAIVER If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent or severed while the remainder continues. Failure to enforce a provision once does not waive later enforcement. ### 68ENTIRE AGREEMENT These Terms, the applicable EULA, Privacy Policy, checkout terms, and any additional written terms expressly applicable to a license/promotion/service form the agreement concerning their subject matter and supersede prior representations on those matters, except binding written commitments and legacy entitlements expressly preserved by Fuse Labs. ### 69LANGUAGE These Terms are provided in English. Pro subscriptions renew until cancelled and remain active through the paid billing period. Lifetime Pro provides Pro for the commercial lifetime of Fuse Caption Studio and includes future Fuse Caption Studio Pro features and major-version updates. Direct paid licenses are generally per Mac with reasonable hardware-transfer rights. Users retain ownership of lawful content and are responsible for having rights to it.
